User shall be responsible for appropriately safe guarding passwords issued to User to access the Web Site and shall be responsible for all damages associated with unauthorized use of a password issued to user by Konica Minolta Business Solutions and shall defend and indemnify Konica Minolta Business Solutions from any costs or claims resulting from such unauthorized use.

In the event a User places an order with Konica Minolta through or using Konica Minolta Business Solutions' Web Site, the User agrees that any order so placed shall be the same as a signed writing, created in the ordinary course of the sending party's business, at or near the time of the events recorded and transmitted by a person with knowledge of the events. When the order is printed from electronic records, such an order shall be considered an original Document. The party placing the order shall not contest the validity of the Document on the grounds that it fails to meet the common law statute of frauds or the statute of frauds found in Section 2-201 of the Uniform Commercial Code, or other applicable law or statute, that it fails to meet the business records exception to the hearsay rule or that it fails the best evidence rules because it is not an original document.

When an order is transmitted by use of the Web Site by a User pursuant to a previously assigned User ID and Password, Konica Minolta Business Solutions is authorized by the User to ship products and invoice the User in accordance with the terms and conditions, including but not limited to price, shipment instructions, etc., previously established by User and Konica Minolta Business Solutions.

Use of this site shall be governed by and construed in accordance with the laws of the State of Connecticut, exclusive of its choice of law rules. Each party to this Agreement submits to the exclusive jurisdiction of the state and federal courts sitting in the County of Hartford in the State of Connecticut, and waives any jurisdictional, venue, or inconvenient forum objections to such courts. In any action to enforce this Agreement, the prevailing party will be entitled to costs and attorneys' fees. In the event that any of the provisions of this Agreement are held by a court or other tribunal of competent jurisdiction to be unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.

This Agreement constitutes the entire agreement between the parties hereto pertaining to the subject matter hereof, and any and all written or oral agreements heretofore existing between the parties hereto are expressly cancelled. Konica Minolta may modify the terms of this Agreement by posting notice of such modification on a page of the Site entitled "Legal Notices" before the modification takes effect.
